Version 2026-10-08. Plain English on purpose: you should be able to read this yourself without a lawyer, and know what you are agreeing to.
This agreement is between Boonora LLC, a Michigan company ("Boonora"), and your business.
Boonora runs a shared rewards network. Customers earn Boons at the businesses they visit and can spend them at any participating business, including yours. Boonora is not a bank, does not issue credit, and does not process your card payments. Boons are a promotional loyalty balance, not money.
You choose what percentage of a sale a customer earns back in Boons, and you can change it any time — changes apply to future sales only. You fund the Boons you award; they are your marketing spend and they appear on your statement. Minimum 0%, maximum 20%. At 0% you may still accept Boons, but you will not appear in the network's "earn here" listings.
A Boon has a single, fixed value set by Boonora across the entire network: 100 Boons = $1.00 (one Boon = one cent). This value is the same at every participating business and cannot be set or changed by an individual business — it is what keeps a member's balance worth the same wherever they spend. You accept Boons at this standard value. To reward members more, you can offer a higher earn rate, a member discount, or a special — funded by you — but the value of a Boon itself does not change.
When a customer spends Boons with you, Boonora owes you their cash value at the standard rate. We settle weekly, every Friday, by bank transfer, with a minimum of $25 (below that it rolls forward). Your statement is in the terminal at all times. Dispute a line within 60 days and we will investigate; after 60 days a statement is treated as accepted.
6A.1 Appointment. You appoint Boonora as your limited agent for one purpose only: receiving payment from customers for goods and services you sell, including money customers prepay through Boonora gift cards and stored-value balances that can be spent with you.
6A.2 The customer has paid you. When a customer pays Boonora for your goods or services — including by spending a Boonora gift card or stored-value balance with you — the customer's obligation to you for that amount is satisfied, just as if they had paid you directly, whether or not Boonora has yet paid you.
6A.3 Settlement. Boonora pays you amounts it collects as your agent on the schedule in §6 (weekly, $25 minimum, less the fees disclosed in §5).
6A.4 Stored value. A customer's stored value (purchased balance plus gift cards) is limited to $1,000; loads above that are refused. Stored value cannot be moved from one customer to another and is not redeemable for cash except where the law requires. Gift cards are sold and labeled as gift cards, never expire, carry no fees, and their terms do not change after they are sold. Earned Boons are a promotional reward with no cash value, separate from stored value.
6A.5 Nothing else. This appointment does not make Boonora your agent for any other purpose.
The cash value of every Boon your customers spend with you is Boonora's responsibility, not yours. We settle what we owe you weekly in real money, and we maintain reserves to cover the balances customers are carrying. As the network grows, Boonora holds those redemption reserves in an account separate from day-to-day operating funds. You will never be asked to fund, discount, or absorb a Boon that Boonora is responsible for — if a balance is owed, Boonora pays it.
Refund a sale and the Boons awarded on it are reversed. Boons already spent are not clawed back from the customer — that cost sits with Boonora, not you. A mis-keyed charge can be voided in the terminal the same day. Nothing is ever taken back out of your till.
Boonora may suspend your terminal immediately if there is reasonable evidence of fraud, a compromised device, or a risk to members' balances. We will tell you why within one business day and restore access as soon as it is resolved. Suspension does not cancel money already owed to you.
Month to month. Either of us may end it on 30 days' written notice, for any reason or none. Boonora may end it immediately for a material breach of §2, §5 or §9.
When you leave — the part people forget:
We would give 60 days' notice, stop issuing new Boons immediately, and use the §7 reserve to redeem outstanding balances or pay their cash value. Settlement owed to you ranks ahead of any distribution to owners.
Neither of us is liable for indirect or consequential loss. Boonora's total liability in any 12-month period is limited to the fees it charged you in that period, plus any settlement owed. Nothing here limits liability for fraud, or anything that cannot be limited by law.
Governed by Michigan law. This is the whole agreement between us on this subject; changes must be in writing. Neither of us may assign it without the other's consent, except to a buyer of substantially all of the business. You are an independent business. Except for the limited appointment in §6A, this does not make either of us the other's agent, partner, employee or franchisee.
